چکیده

خصوصی‌سازی شرکتهای دولتی اقدامی بود جهت بهبود اوضاع اقتصادی جوامع که ابتدا ازکشورهای اروپایی شروع شد و سپس در سایرکشورها مورد اعمال قرار گرفت. در این راستا، کشورها از روشهای مختلفی استفاده نمودند؛ که یکی از این روشها، خصوصی‌سازی از طریق انتقال مدیریت بود. در کشورآلمان این روش درکنار روش واگذاری مالکیت و از طریق مذاکره، مزایده و چانه زنی به کار گرفته شد. کشور ایران نیز این روش را در کنار روش واگذاری مالکیت پیش بینی نموده که به سه روش اجاره، پیمانکاری عمومی و مدیریت پیمان و عموما از طریق مزایده و مناقصه صورت می پذیرد.

در پژوهش حاضر با روش تحلیلی – توصیفی به بررسی خصوصی‌سازی شرکتهای دولتی از طریق انتقال مدیریت و تطبیق آن به حقوق آلمان پرداخته شده که تلاش شده با رویکردی تطبیقی، بررسی خصوصی‌سازی شرکتهای دولتی از طریق انتقال مدیریت، نحوه وشرایط و روشهای خصوصی‌سازی از طریق انتقال مدیریت، و بیان کلیات این روش در ایران و تطبیق آن با حقوق کشور آلمان در نظرگرفته شود.

باید گفت خصوصی‌سازی یک مساله‌ی میان رشته‌ای است. با این توضیح که فارغ از ابعاد اقتصادی و آثار و نتایج آن، ضرورت تحلیل ماهیت، شرایط، احکام و آثار حقوقی این فرآیند امری انکار ناپذیر است.

چکیده [English]

The privatization of state-owned companies was a measure to improve the economic situation of societies, starting first in European countries and then applied in other countries. In this regard, countries used different methods; One of these methods was privatization through management transfer In Germany, this method was used in addition to the method of transfer of ownership and through negotiation, auction and bargaining. Iran has also envisaged this method along with the method of transfer of ownership, which is done in three ways: rent, general contracting and contract management, and generally through auctions and tenders.

In the present study, the privatization of state-owned companies through the transfer of management and its application to German law has been studied analytically-descriptively. An attempt has been made to study the privatization of state-owned companies through the transfer of management. , And the general expression of this method in Iran and its application to the law of Germany should be considered.

Privatization is an interdisciplinary issue. Explaining that regardless of the economic dimensions and its effects and consequences, the need to analyze the nature, conditions, provisions and legal effects of this process is undeniable
